1. Company Information & Scope
Smarter HR Solutions, LLC (“Smarter HR,” “we,” “our,” or “us”) is a Texas-based professional services firm providing HR consulting, compliance, advisory, and workforce solutions. Smarter Staffing Solutions (“Smarter Staffing”) operates as a staffing and workforce solutions division of Smarter HR Solutions, LLC.
These Terms and Conditions (“Terms”) govern your access to and use of:

(collectively, the “Sites”), and any information, content, forms, or services referenced therein.
By accessing or using either Site, you agree to be bound by these Terms.

2. No Offer, Guarantee, or Professional Relationship
Use of the Sites does not constitute:
• An offer of employment
• A guarantee of candidate placement, hiring outcomes, or compliance results
• A consulting, staffing, agency, fiduciary, or client relationship
No employment relationship, joint employment arrangement, or professional services engagement is created by use of the Sites alone. All services provided by Smarter HR or Smarter Staffing require a separate written agreement executed by authorized representatives of the parties.

3. Distinction Between Services
3.1 HR Consulting & Advisory Services
Smarter HR provides HR consulting, compliance guidance, and advisory support. Information provided on the Sites is for general informational purposes only and does not constitute legal advice. Clients retain responsibility for:
• Employment decisions
• Policy implementation
• Compliance with applicable federal, state, and local laws
Clients are encouraged to consult qualified legal counsel for complex, high-risk, or jurisdiction-specific matters.
3.2 Staffing & Workforce Solutions
Smarter Staffing provides recruiting and staffing-related services only pursuant to a written agreement. The Site does not guarantee:
• Candidate availability
• Placement outcomes
• Workforce performance
Clients retain responsibility for workplace supervision, safety, scheduling, discipline, and compliance with wage and hour and employment laws unless otherwise agreed in writing.

4. Candidate Responsibilities
Individuals who apply for or accept consideration for staffing opportunities remain responsible for:
• Accuracy of credentials, licenses, certifications, and representations
• Compliance with client workplace rules and policies
• Maintaining required professional certifications
Smarter Staffing relies on information provided by candidates and third parties and does not warrant absolute accuracy.

5. Healthcare Staffing & Advisory Disclaimer
Neither Smarter HR nor Smarter Staffing provides medical care, clinical judgment, diagnosis, or treatment.
• Credentialing, privileging, and clinical supervision remain the responsibility of the hiring facility unless otherwise agreed in writing
• Placement does not create a provider–patient relationship
• HIPAA or healthcare compliance obligations apply only pursuant to a separate written agreement
Website submissions are not secure and must not be used to transmit Protected Health Information (“PHI”).

6. Public Sector & Government Engagements
For public sector or governmental entities:
• Nothing on the Sites constitutes a bid, proposal, or offer
• All services are subject to applicable procurement laws, ethics rules, and approval processes
• Engagements require a fully executed contract or purchase order
Information submitted may be subject to public records, retention, or disclosure laws.

7. Intellectual Property
All content on the Sites—including text, branding, logos, graphics, documents, and forms—is the property of Smarter HR Solutions, LLC and may not be copied, reproduced, distributed, or used without prior written consent.

8. Limitation of Liability
To the maximum extent permitted by Texas law:
• All Site content and services are provided “as is”
• All implied warranties are disclaimed
• Smarter HR Solutions, LLC and its divisions are not liable for indirect, incidental, punitive, or consequential damages
Total liability under any claim shall not exceed fees paid under a written agreement, if any.

9. Indemnification
You agree to indemnify and hold harmless Smarter HR Solutions, LLC and its divisions from claims arising out of:
• Your use or misuse of the Sites
• Submission of inaccurate or misleading information
• Violation of applicable law

10. Governing Law & Venue
These Terms are governed by the laws of the State of Texas. Exclusive venue for any dispute lies in the state or federal courts located in Texas.
